Investment Terms

Kirlos Demyan Enterprise Partners (KDEP) offers investment opportunities in SaaS and e-commerce projects. Investments can be made starting from as low as $10, allowing a diverse range of investors to participate in high-growth tech sectors. The projects available for investment are 100% owned by Kirlos Demyan LLC.

Investor Obligations and Rights

Eligibility

To become an investor, you must be at least 18 years old and comply with local laws regarding investments.

Rights

Investors are entitled to voting rights, profit-sharing, and regular updates on their investments.

Obligations

Investors must provide accurate information and refrain from fraudulent activities.

Withdrawal of Investments

Withdrawal Rights

Investors have the right to request the withdrawal of their investments from the projects in which they hold shares after a minimum period of five years from the date of investment, unless otherwise specified on the project's presentation page. This policy is designed to ensure that the project's flow rate remains unaffected and to prevent any potential liquidity crises.

Procedure

If an investor wishes to withdraw their investment after five years or more, they must submit a request to the Investor Relations Department. The value of their investments and any accumulated profits will be released six months from the date of submitting the request.

Currently, the only method available for investors to request the withdrawal of their investments is by sending a written request via email to the Investor Relations Department at: investors@kirlosdemyan.com.

Project Information and Updates

Investors will receive regular updates on the progress of their investments. Additional information can be requested from the Investor Relations Department.

Exit Strategy

Shares can be sold or transferred according to the procedures outlined by Kirlos Demyan LLC. The company reserves the right to buy back shares under specified conditions.

Funding Program Terms

Confidentiality

Both parties are obligated to maintain the confidentiality of proprietary information. Breaches of confidentiality will incur penalties.

Liability Limitation

Kirlos Demyan LLC is not liable for any losses incurred by investors or funded projects. No warranties are implied or expressed.

Indemnification

Investors and entrepreneurs agree to indemnify, defend, and hold harmless Kirlos Demyan LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees and costs) arising out of or in any way connected with their access to or use of the services, violation of these terms, or infringement by them, or any third party using their account, of any intellectual property or other right of any person or entity.

No Guarantee of Returns

Investments in projects offered by Kirlos Demyan LLC are subject to market risks. There is no guarantee of returns, and past performance is not indicative of future results. Investors should carefully consider their investment objectives and risk tolerance before investing.

No Guarantee of Returns

Compliance with Laws

All parties must comply with all applicable laws, rules, and regulations, including but not limited to securities laws. Kirlos Demyan LLC reserves the right to take appropriate action in the event of any non-compliance.

No Fiduciary Duty

Kirlos Demyan LLC does not owe any fiduciary duties to investors or entrepreneurs except as required by applicable law. The relationship between the parties is strictly that of an independent contractor.

Severability

If any provision of these terms is held to be invalid or unenforceable, such provision will be struck, and the remaining provisions will remain in full force and effect.

Waiver

The failure of Kirlos Demyan LLC to enforce any right or provision of these terms will not be deemed a waiver of such right or provision.

Dispute Resolution

Disputes will be resolved through arbitration or in courts located within the governing jurisdiction. The laws of the state of Wyoming will apply.

Amendments

Kirlos Demyan LLC reserves the right to amend these terms and conditions. Investors and entrepreneurs will be notified of any changes.

Miscellaneous

Company Rights

Kirlos Demyan LLC reserves the right to unilaterally terminate the contract and withhold the agreed-upon financing if it determines that the records of sales, purchases, expenses, or profits have been tampered with in any project it invests in. Additionally, the company has the right to terminate the contract without compensating the invested companies if it detects mismanagement by the other party or deviation from the agreed-upon roadmap.

Force Majeure

The company is not responsible for non-performance due to events beyond its control, such as natural disasters, wars, or other emergencies.

Entire Agreement

These terms and conditions constitute the entire agreement between Kirlos Demyan LLC and the investor/entrepreneur, superseding all prior agreements.
